WASHINGTON (CBS.MW) -- USA Interactive said it's been named in three lawsuits, along with Expedia Inc. and its board of directors, over the proposed merger of the companies, according to USA Interactive's annual report filed Monday

At the time the deal was announced, the exchange ratio represented a 30 percent premium for Expedia's shares. Expedia's board approved the agreement.

But the suits, filed in a Washington State superior court, allege that the defendants breached their fiduciary duties to Expedia's public shareholders by entering or approving the merger agreement because it doesn't reflect Expedia's true value.
The complaint seeks an injunction against the consummation of the transaction or its cancellation, along with an unspecified amount in damages, the filing said.

Expedia shares fell $2.75, to $52.11 in recent trading, while USA's shares fell $1.43 to $27.
