NEW ORLEANS, Apr 02, 2003 (AP Online via COMTEX) -- McDermott International
Inc. says federal regulators are investigating the company for stock trading
irregularities last summer.

McDermott, which builds power generation boilers and offshore oil and gas
platforms and manages federal sites for the government, said the Securities and
Exchange Commission told the company it is conducting the investigation.

SEC investigators have interviewed the company's staff and requested documents
from the New Orleans-based conglomerate relating to unusual trading on Aug. 7,
2002, the company said in a filing this week.

McDermott's stock dropped 58 cents to $3.00 in heavy trading that afternoon. The
following day, the stock surged to $5.35 on favorable news of a preliminary
settlement of asbestos litigation. McDermott's chief executive described the
settlement as a "watershed event." because it signaled a conclusion to the
litigation.

The news was released after the market closed on a Wednesday, making Thursday
the first day of trading after the public release of the information.

McDermott spokeswoman Gay Mayeux declined to provide the names of employees who
have been questioned. An SEC spokesman said the agency does not comment on
pending matters.

McDermott first mentioned the SEC inquiry and a parallel New York Stock Exchange
inquiry in an SEC report filed in November. A stock exchange spokesman declined
to comment Tuesday.

McDermott's annual report released Monday said the SEC recently notified the
company that it has undertaken a "formal order of investigation" in relation to
the trading. The company said it was responding to SEC subpoenas.

McDermott is incorporated in Panama, but its corporate headquarters are in New
Orleans and Houston. The company has no assets in Panama.

In afternoon trading Wednesday on the New York Stock Exchange, McDermott shares
were up 7 cents at $3.12.
