MAAX INC. INITIATES SALES PROCESS

Maax intends to solicit and consider offers to purchase all of the issued and outstanding shares of the company.

This decision follows the announcement by Placide Poulin, chairman and founder of Maax Inc., to sell his shares, and is part of a process intended to maximize shareholder value and allow him to eventually take a well-deserved retirement.

As part of this decision, the board has created an independent committee to initiate the process and solicit offers for all of the company's shares.

The independent committee, chaired by Raymond Garneau, chairman of the board of Industrielle-Alliance, comprises directors of the company, namely:

Marcel Dutil, president and chief executive officer of the Canam Manac Group Inc.;

Paul Gobeil, vice-chairman of the board of Metro Inc.;

Remi Marcoux, chairman of the board and chief executive officer of Transcontinental Group G.T.C. Ltd.; and

Dennis Wood, chairman of the board of DWH Inc.

In announcing his decision to retire, Mr. Poulin underscored his confidence in the senior management team and employees of the company, who have contributed to the success of Maax Inc. for many years. He said this team would be an important asset for the future of the company.
