Real Problem: Excessive Options. Management Option Grant abuses. Secondary Problem: Expense or not expense? Popular Solution #1: Expense options. Earnings are affected. BOD will act appropriately and in their fiduciary capacity. Assumes the BOD cares, assumes the BOD will act on shareholder wishes, assumes desired action based on earnings consequences but lays no groundwork for actual enforcement. Real Solution: Give the shareholders some real enforceable rights. That can't be ignored or circumvented by the BOD as they so choose.
