Isn't that a distinction without a difference. The jurisdiction FOR SECURITIES FRAUD PURPOSES, NOT PROCEDURAL PURPOSES, is still the state where the purchaser resides.

The problem you now introduce is called the "fraud on the market theory".

The company claims, "we didn't sell you the stock" it was another shareholder. "We were just lying to sell our own stock which you can't prove you bought from us!!!!"
