$10 M Convertible Preferred @ $4.25 per share = 2.35M common shares
approx 3.4% of total outstanding shares of 68.8M shares
forcible to common if stock rising 50% ($6.38 per share)
Preferred Dividend of 2%
if it reaches maturity (12/2/04), warrants @ $5.00 for 352,941 shares (0.5% of outstanding shares and 15% of convertible shares)
