All the more reason for companies to issue restricted stock instead of options.

Most 'smart' executives, who receive stock options, only exercise them when in-the-money, and then cash them out immediately (or hedge against losses).

If the options always remain under-water, they simply never exercise them... and then walk away, or finnagle the board into re-pricing them.

Actual STOCK grants are the only sure way to tie an individual's interests with the long-term interests of a company.
