My suggestion for you would be to subscribe to Claude's excellent newsletter as I am sure many of us here do. By subscribing you support the work of Claude and his staff. Without this financial support Claude would not be able to do his most excellent work. As any here can tell you it would be money well spent. His picks have been very good to me.

It is true that private placement (brokered or non-brokered) are almost always done at a discount to the average stock price of the last 30 days (maybe lss than 30 days in some occasion). The discount is usally 10%. But stocks price movements after the 30-days period will have an effect on the discount percentage.

It is legal. Usually investors who participate in this placement get the discount to compensate for the fact that they must hold the stock for several months before they can trade it.
