Dr DAMADIAN OWNS 99+% OF ALL CLASS "C" SHARES OF FONAR. ONLY THESE SHARES HAVE VOTING RIGHTS THAT ARE MEANINGFUL. THE COMMON SHARES, AS YOU SAY HAVE VOTING RIGHTS BUT DAMADIAN IS IN TOTAL CONTROL. hE CAN IGNORE THE COMMON SHARE VOTES.
Publically owned companies controlled by a family are in difficulty today. With the scandal attached to Adelphia where the founding family even charged cost of building a golf course for themselves to the company,Wall Street carefully looks at any organized in this manner. I expect that due to other scandals the emphasis on "governance" will result in these companies having to reorganize and appoint boards that are independent. That will include FONAR.
