Material Change Report / Tier II Portfolio

Beginning Cash Component $22,087.62

The time has come to where I desire to increase my cash position in this portfolio. In order to do so, I am taking partial profits on my long standing profitable situations with both Compton Petroleum and Thunder Energy. I continue to like both companies. It’s simply time to lessen my over weighted positions in each – especially Thunder Energy which amounted to 23.4% of the portfolio.

I am also dropping Upton Resources and StarPoint Energy from coverage. These two companies are merging early in 2004. I originally intended to ride with the acquiring company – StarPoint, but have had a change in heart. I recently acquired shares in StarPoint and am selling at a decent profit. This is a matter of area of operations and management.

I am initiating coverage of Ketch Resources by adding the company to this portfolio’s holdings. This is a young upstart company that has made giant strides in the last 4-5 quarters of its corporate existence and - believe they will continue as a very successful operation. More to follow on this company.
