I. Executive Summary.

Micro Sensor Technologies, Inc., (MSTI) a State of Florida registered Corporation, is a wholly owned subsidiary of SENSE Holdings Inc.™, Inc., also a State of Florida registered Corporation. MSTI was founded for the purpose of designing, manufacturing and marketing highly advanced explosives detector systems under certain exclusive and co-exclusive patent licenses acquired from UT-Battelle, LLC which manages Oak Ridge National Laboratory (See Appendix A) for the United States Department of Energy.

This new explosives sensor technology is based on Micro Electro-Mechanical Sensors (MEMS). These microstructures are fabricated in a very similar fashion to mass produced electronic integrated circuits. MEMS based chemical sensors are fabricated in the form of extremely sensitive microcantilever structures.

The fundamental advantages of this new handheld explosives detection technology are low cost, extremely high sensitivity and real-time operation while maintaining an almost complete immunity to false alarms. A proof-of-principle prototype is currently operating at Oak Ridge National Laboratory. The United States Department of Energy has invested approximately four million dollars in the development of MEMS based sensor technology.

MSTI has issued a fully funded contract to this government research institution to expand the development of the existing prototype into a technology demonstrator model under the direction of Dr. Thomas Thundat (See Appendix B). MSTI has issued a second fully funded contract to Dr. Panos G. Datskos (See Appendix C), also of Oak Ridge National Laboratory, to provide the scientific consulting services required to support the transition of this new technology into a marketable product.

The MEMS based explosives sensor chip currently under development at Oak Ridge National Laboratory has a target production cost in the range of ten to fifteen dollars apiece. This new patented low-cost technology permits large-scale production of handheld explosives detector systems with a price/performance ratio significantly superior to all other explosives detector systems now in existence.

MSTI believes that the acquisition of this new patented explosives sensor technology places the Company in an excellent competitive posture to capture a dominant market position. The Company is currently engaged in the filing process for certain additional patent applications related to the real-world implementation of this new technology. If granted, these additional patents would significantly enhance the market strength of its proprietary technology.

The Company requires additional working capital to complete the development of this new patented technology and enter the manufacturing and marketing phases. MSTI is presently engaged in an investigative process designed to identify appropriate funding options and potential investment sources. Micro Sensor Technologies, Inc. is formally seeking expressions of interest from those qualified organizations with a desire to explore mutually beneficial joint ventures, strategic alliances or sublicenses.
