Armada Mercantile Ltd., through its wholly-owned subsidiary Armada Group USA, Inc. (“ArmadaUSA”), has signed a merchant banking and consulting agreement with CareDecision Corp. (the Client) of Westlake Village, California (OTC Bulletin Board: CDED - News ) . This agreement will allow ArmadaUSA to immediately facilitate a multi-million dollar strategic transaction involving the Client's medical technology with another of ArmadaUSA's client companies. The agreement also calls for ArmadaUSA, through its advisory services, to assume a leadership role on behalf of the Client as it enters the closure phase of its agenda of initiatives. These advisory services will include the initiation of a $2-$3 million credit facility for the Client's ResidenceWare products, as well as consultation on an anticipated alliance with a large satellite media corporation. In addition, ArmadaUSA will provide merchant banking services, as well as provide Venture-Lending funding, to the Client. ArmadaUSA has received a signing bonus from the Client, while additional potential compensation for ArmadaUSA will be derived from fees, interest, and equity positions.

The Client’s InfoBridge™ provides physicians, clinics, integrated delivery networks, hospitals and other healthcare enterprises with a state-of-the-art decision-support reporting system through the integration of existing information-delivery systems. By continuing to use existing systems, healthcare businesses reduce the expense and downtime associated with implementing new systems, and the Client’s Hosted Delivery Service (HDS) eliminates the upfront costs and ongoing expense of owning, upgrading, staffing, and maintaining an in-house system. ArmadaUSA will provide merchant banking and advisory services, in order to facilitate introductions to publicly-traded companies, roll-up and spin-off transactions as well as provide Venture-Lending funding to the Client.
