PART 1 - ITEM 3 CONTROLS AND PROCEDURES The Company carried out an evaluation, under the supervision and with the participation of the Company's management, including the Company's President and Chief Financial Officer of the effectiveness of the design and operation of the Company's disclosure controls and procedures as of the end of the period covered by this report. The evaluation was undertaken in consultation with the Company's accounting personnel. Based on that evaluation, the President and Chief Financial Officer concluded that the Company's disclosure controls and procedures are effective to ensure that information required to be disclosed by the Company in the reports that it files or submits under the Securities Exchange Act of 1934 is recorded, processed, summarized and reported in accordance with the Securities and Exchange Commission's rules and forms. We have experienced considerable problems from our accounting software. We have upgraded our equipment in response to these problems. Our internal procedures have been adjusted to reflect this change. There were no other significant changes in the Company's internal controls or in other factors that could significantly affect internal controls subsequent to the date of their evaluation.
