This non-dilute clause says that everytime he issues stock to someone, he gets the same amount, so that his position is never diluted. There was a board of directors, but apparently he just went around them, wrote the document, and sent it to the transfer agent. The document is signed by him only. He has also been selling stock to people at large discounts to the market bid, ususally in the neighborhood of half price. These folks then go and sell the stock and double their money. Obviously this money does not go to fund company operations or the Form 10 would have already been filed and the company would have never gone on the pink sheets. The money is used so that Serrano can maintain a lifestyle which he desires. He lives in a million dollar home, drives an $85,000 car, and draws a $200,000/yr salary, so it doesnt take a rocket scientist to figure out where all the money is going. He has told people that he is a Navy Seal. I was told that this was checked on and that it is an out and out lie. If someone will lie about something so easy to verify, just let your imagination tell you what else they will lie about. As far as the Form 10 goes, it would make alot of sense that he wants NO form 10, because the financials are going to send him to prison. It is in his best interest to keep those records as far away from the SEC as he can get them! Oh, I almost forgot. How about that OTHER new car that the company bought and Serrano gave to his wife for her birthday - well she would have nothing of it, but his brother volunteered to take it, and it hasn't been seen since!
