BARTOW, Fla., Feb 2, 2004 /PRNewswire-FirstCall via COMTEX/ -- American
Commerce Solutions, Inc. (OTC Bulletin Board: AACS) today released interim
results of operations for the fourth quarter ending February 29, 2004.

Daniel L. Hefner, President and Chief Executive Officer of American Commerce
Solutions, Inc., stated, "Based upon our books and records, we are pleased to
announce that ACS' wholly owned subsidiary, International Machine and Welding,
Inc., can report that revenues for the first two months of the fourth quarter
have exceeded the total three month revenue of any of the prior quarters of the
2003-2004 fiscal year. The total revenue for the months of December and January,
subject to minor adjustment, was $502,784. The December revenue was $232,082,
followed by January revenue of $270,702. The work in progress, or sitting on the
floor, in the shop for February is in excess of $156,000. These numbers are
indicative of the up-turn in the local economy and effective use of the
resources available."

Hefner continued, "We are releasing these interim results of operations in light
of the recently announced hiring of John W. Shearer to serve as President of
this subsidiary operation. In that announcement, it was noted that Mr. Shearer
had been working in a consulting capacity since October and that many of his
observations and suggestions had been incorporated and/or implemented. It was
further noted that the results would be evident in the fourth quarter numbers.
Stockholder inquiries seemed to warrant an indicator of what to expect."

Southeast. With the economy improving, a more focused sales effort and
capitalizing on the unique machinery that IMW utilizes, we expect to continue to
increase our market share, quarter by quarter. We will do what we do best and

Chariot Manufacturing Company, Inc., manufacturers of highly regarded fiberglass
motorcycle trailers, had only recently started production, but will also
contribute to fourth quarter revenue.

Hefner emphasized that the results are unaudited, interim numbers and reflect
only the first two months of the fourth quarter.
