It will not stop practises what are sometimes dubbed "the Reg S scam". Securities traded (and settled) outside the US are unaffected. Of course, the a necessary condition is access to markets and liquidity. Not being able (or not easily...) to resell securities in the US could stall this type of business. Would it stop overseas boiler rooms from peddling securities outside US registration? No...
