09:03 CMGI CMGI Inc to acquire Modus Media, expects deal to be accretive (2.07 )

Co announced it has entered a definitive merger agreement to acquire Modus Media, Inc., privately owned provider of supply chain mgmt solution with revenues for 2003 of apprx $543 mln. CMGI will acquire all of the stock of Modus for apprx $157.5 mln in CMGI common stock and a net cash payment of apprx $73 mln to retire indebtedness. The transaction is expected to close in Q3 and is expected to be accretive to CMGI's operating profit and net income excluding restructuring costs in the first year.
