If ISH company that owns excite and other properties and had comparable revenues to ASKJ, why they the owners of ASKJ agreed to sell for $343 million if these properties are worth billions? They knew that the long term viability of ISH is not great. If they had to sell, why not take all stock at $20, if ASKJ was worth billions with ISH combination.

ISH and ASKJ have almost same metrics, why ASKJ valued at $2 billlion and ISH owners sold for $343 million?
