CURRENT BUSINESS INFORMATION: KIWI Network Solutions Inc. is developing an International Mobile Virtual Network Operator (IMVNO) platform to allow the delivery of voice, data and short messaging over multiple networks. + HISTORICAL BUSINESS INFORMATION: Kettle River Group Inc. was incorporated under the laws of the State of Nevada on August 18, 1999.

+ On February 14, 2000, Kettle River Group Inc. acquired a sub-license agreement with David R. Mortenson & Associates. The license grants an exclusive right to distribute Vitamineralherb.com products to health and fitness professionals in Great Britain via the Internet. Kettle River Group Inc. acquired the license under the terms of a settlement agreement by and between it and Mortenson & Associates, an affiliate of Vitamineralherb.com. Mortenson & Associates had granted the Company a license to distribute and produce an oxygen enriched water product, called "Biocatalyst," for remediation of sewage and waste water in septic tanks and waste water treatment facilities. Mortenson & Associates acquired its right to sublicense Biocatalyst to the Company from NW Technologies Inc.

+ On October 19, 2001, Kettle River Group Inc. announced that it had acquired Urbanesq.com Inc., a private Ontario, Canada company. The acquisition was completed through a voluntary share exchange, whereby the shareholders of Urbanesq voluntarily exchanged all of the outstanding common stock of Urbanesq for 6,500,000 shares of common stock of Kettle River Group Inc. Immediately following the share exchange, Urbanesq became a wholly owned subsidiary of Kettle River Group Inc. and the shareholders of Urbanesq held a majority of the outstanding common stock of Kettle River Group Inc. Urbanesq was formed on August 25, 2000, in the Province of Ontario, Canada.

+ On December 6, 2001, Kettle River Group Inc. changed its name to Koala International Wireless Inc.

+ On September 16, 2002, Koala International Wireless Inc. announced it had entered into a definitive agreement to acquire 100% of the shares of NoWire Telecom, Inc. in a voluntary share exchange for 6,000,000 shares of its common stock. NoWire is an International Mobile Virtual Network Operator (IMVNO) incorporated in Cairo, Egypt, with corporate headquarters in Montreal, Quebec.

+ On October 9, 2002, Koala International Wireless Inc. announced that it had acquired Route1 Corporation, a private Ontario company based in Toronto, Canada. The acquisition was completed through a voluntary Share Exchange, whereby the shareholders of Route1 voluntarily exchanged all of the outstanding common stock of Route1 for 6,000,000 shares of common stock of Koala International Wireless Inc. Immediately following the transaction, Route1 became a wholly-owned subsidiary of Koala International Wireless Inc. Under the terms of the Agreement, Koala International Wireless Inc. will change its name to Route1 International Corporation in order to better reflect the new business of the company.

+ On November 21, 2002, the Company announced the closing of the agreement to acquire 100% of NoWire Telecom, an Egyptian partnership company, in a voluntary share exchange for 6,000,000 shares of Koala's common stock. Upon the effective date of the Exchange, November 20, 2002, NoWire became a wholly-owned subsidiary of Koala International Wireless Inc.

+ In January 2004, the Company changed its name from Koala International Wireless, Inc. to KIWI Network Solutions Inc. and its ticker symbol from KIWIE to KWNSE.
