Look in Sedar. The Proxy/Information circular published just before the annual meeting.

I think you'll find very few comparable companies where the compensation of the top 5 officers is lower. That wasn't their problem.

S&P, I expect you've noted Dave's reply. While many shareholders have expressed dissatisfaction with management compensation at Dimethaid (especially including RK's last raise) I think Dave's comment "I think you'll find very few comparable companies where the compensation of the top 5 officers is lower. That wasn't their problem." is accurate.

In terms of industry averages, executive compensation was reasonable.

But there are related questions, some of which may be addressed by the Dissident Shareholder's Circular. For instance, management in other companies has been found guilty of profiting from share-price decline. This can be done through hedging mechanisms such as "collaring".

Given unscrupulous management, the ability to make money from a corporation is not limited to stated compensation, or the traditional expectation that they'll try to succeed: maximize shareholder value. Some have chosen to profit handsomely from the lower share prices, and their insider knowledge that the company's decline was a sure thing.

Management's paycheque may not tell the whole story.
