UPDATE - CUNO to buy WTC Industries for $110 mln

NEW YORK, May 26 (Reuters) - CUNO Inc. (NasdaqNM:CUNO - News) agreed to buy WTC Industries Inc. (OTC BB:WTCO.OB - News) for about $110 million in cash and assumed debt to expand its water filtration business, the companies said on Wednesday.

WTC shareholders will receive $39.87 in cash for each of their shares, while WTC option and warrant holders will receive cash based on the difference between $39.87 per share and the exercise price of their options and warrants.

The terms value WTC at a 27 percent premium over its shares' Tuesday closing price. The shares were not quoted on Wednesday.

Have you you ever bought it?

The buy-out price is at the low end price projection for this year. I expect WTCO to reach ~70 in 1-2 year and 100 in 2-3 years. Looks like I'll have to find another GS home run deal. <G> CUNO got a good deal by buying their major competitor at cheap price.

However, I think this could be a smart move for WTC management. They must be really tired and need a break after the deal is concluded. The risk will be on the shoulders of CUNO in this dangerous stock market.
