only the very senior people are paid in equity only. THe senior people, over 45 or so seem like they will get something from SS anyway so it isn't so bad. The junior people, my employees always paid fica and payroll taxes. In fact the pure payroll situation wrt job loss is probably the single largest factor that CA remains broke. Fica only hits the people that can afford it least actually, if you are in senior management and you aren't working for stock options you probably don't care about fica because it tops out at slightly less than 90K. Just enough to ripoff all the midrange and lower level workers.

Grace,
There are two kinds of stock options - Nonquals and Quals.

Fica is deducted upon exercise.
