I think Edwards will take the #2 slot, if offered. First, I think they will win, but even if Kerry loses, I don't think it will hurt Edwards' chances in the future.

FDR was a losing VP candidate - it didn't hurt his career.

More recently, Dole ('76 as VP, '96 for President) and Mondale (lost as VP '80, lost as President '84) both received their party's nominations after losing as a VP candidate.

IMHO, the egos of these people are simply too great for them to turn down anything, much less a VP slot. This goes for both parties. There may be a potential candidate or two that has turned down a VP offer from "their" party, but I don't remember who or when. My guess is that kerry will go with edwards or clinton. Of course, kerry could always use the media to name yet another handful of republicans like Cohen, Hagel, McCain etc. <g>
