No, I don't think so. I think they way you are stating it is inexact and incorrect. But it cetainly isn't worth arguing about.

It has nothing to do with the issue of MS's intent, which was the subject of discussion.

There is always a tax consequence upon distribution, and a company, under the tax law can distribute, whether or not there is a need for the money.

There are state corporate laws which deal with this situation and IF the money is needed for TAXES, THAT is a different colored horse.
