elmer and I talked about his issues. It was with various issues in the Cybertrader client software, not the website or any connectvity problem. It would take a lot to make me want to work for Schwab. Know enough people who've been there over the years to know that.

Truth is, not particularly interested in the Bay Area at all, but would consider it for the right job.

Increasingly not interested in California period, but haven't figured out where to go next if I leave.

Generally, the reason is to avoid ALL the various state laws (including those about compensation) that are often tighter, weirder, or less well established than Delaware's. It's possible that nobody has incorporated there to specifically avoid that section of California corporate law, but it's certain that many companies do it in order to avoid California law in general.

Makes much less sense for individuals or small businesses to be in Delawar, though some of them are. For some individuals a Nevada corp can make some sense for tax reasons, but only if you're careful. Contrary to popular belief, incorporating a sole proprietorship or other small business has limited usefulness for the purpose of asset protection.
