BURLINGTON, Ontario, July 27 /PRNewswire-FirstCall/ -- Capital Environmental Resource Inc. (Nasdaq: CERI - News) today announced that shareholders have approved the proposed plan of arrangement pursuant to which Capital will become a subsidiary of Waste Services, Inc., a Delaware corporation. Capital's name will also be changed to Waste Services (CA) Inc. The hearing for the final approval order of the Ontario Superior Court of Justice will take place on July 30, 2004. Capital also stated that it will continue to accept elections from non-U.S. resident shareholders to receive exchangeable shares of Capital under the arrangement until 5:00 p.m. on Thursday, July 29, 2004. Capital Environmental Resource Inc. is a multi-regional integrated solid waste services company that provides collection, transfer, disposal and recycling services in the United States and Canada.
