SouthernEra share distribution to shareholders SouthernEra Resources Ltd (NYSE:SUF) Shares Issued 83,424,928 Last Close 8/26/2004 $3.11 Thursday August 26 2004 - Dividend Declared TSX bulletin 2004-0972 At the open on Monday, Aug. 30, 2004, the common shares of SouthernEra Resources will be listed and posted for trading on an ex distribution basis under its new name SouthernEra Diamonds Inc. pursuant to a distribution described below. SouthernEra Resources will distribute to common shareholders of record, as of the close on Wednesday, Sept. 1, 2004, one common share of Southern Platinum Corp. for each common share of SouthernEra Resources held. It is anticipated that share certificates representing the appropriate number of Southern Platinum common shares will be mailed to shareholders on or about Sept. 8, 2004. The foregoing results from a plan of arrangement as described in SouthernEra Resources' information circular dated June 29, 2004, approved by shareholders of the company at its annual and special meeting on July 27, 2004. The arrangement results in the formation of Southern Platinum, which will continue certain of the businesses previously conducted by SouthernEra Resources. It is anticipated that the arrangement will be completed on the effective date. Pursuant to the arrangement, as of the effective date, each holder of common shares of SouthernEra Resources will receive one common share of Southern Platinum and one common share of SouthernEra Diamond. Share certificates, formerly representing SouthernEra Resources common shares, will be deemed to represent common shares of SouthernEra Diamond.
