So all OMNI needs is some adult supervision and some experienced financial people ? Looks like basic business model is okay, and prices for their services should be rising...

Area51, An S-1 is a big deal to prepare and to predict they could do it in a week is unrealistic (especially given that: 1) they couldn't even get a goddam 10Q out on time, and 2) they have different auditors than the ones that audited the past year).

The only realistic way to solve this mess would be to bribe the convert holders into giving them a waiver, maybe by greasing their palm with some penny warrants or something. The convert holders would probably be amenable to something like this because this company is worth a helluva lot more to them alive than dead. Maybe while management is doing this they could also re-negotiate the put option provisions of these convertibles.
