1) This is a pure speculation and all thoughts are IMO only. DO NOT risk much on this if at all.

2) It has little downside from .06 IMO

3) 18,000,000 shares plus new $ raising gives another 2 mil.

4) Director Charles Desjardins is savvy. Involved in 17 other companies and isn't about to ignore this one as witnessed by:

Mr. Charles Desjardins reports

NORTH AMERICAN GEM ANNOUNCES PRIVATE PLACEMENT

North American Gem Inc. intends to raise $200,000 by way of a non-brokered private placement at a price of five cents, subject to the approval of the TSX Venture Exchange.

Up to two million units will be issued as flow-through units consisting of one flow-through common share and one-half of a non-transferable share purchase warrant. One whole warrant will entitle the holder to purchase one additional non-flow-through common share of the company at a price of 10 cents per share for the first year, and 12 cents until expiration the following year.

The remaining two million units will be issued as non-flow-through units, each non-flow-through unit consisting of one common share and one non-transferable share purchase warrant. One warrant will entitle the holder to purchase one additional non-flow-through common share of the company at a price of 10 cents per share for the first year and 12 cents until expiration the following year.

The proceeds of the private placement will be used for continuing exploration of the company's Bonaparte property, other exploration opportunities and general working capital.

6) Bonaparte property is a legit target, but I have NO idea of its potential.

7) It strikes me that this stock could recycle through the winter and into PDAC on no news to ?? .15 since last winter it went to .24

8) God forbid it may actually hit something.

9) A new opportunity may present itself to the company.

10)It could be bought as a shell but I doubt this, I'd think Desjardin will use it himself.

11)E. Charters spoke of NAG positively last winter but I don't know of his interest now.

12)I think the PP shares at .05 when closed would allow upward price movement again. maybe????

Thats it thats all. Just a spec. play.

Note: I am loaded up at about .045 avg. and will wait it out...might be one month or two years or never.

Caveat emptor or..er...emptor caveat...
