COMPLETES ACQUISITION OF TEREX RESOURCES LIMITED Zenda Capital Corp. has completed its acquisition of Terex Resources Ltd. Plans for this acquisition were originally announced in Stockwatch on July 7, 2004, and were conditionally approved by the TSX Venture Exchange in September. The acquisition was unanimously approved by shareholders of the company on Nov. 8, 2004. The shareholders of Terex have tendered all of their 14,922,500 shares which have been exchanged for shares of Zenda on a 1:1 basis. Terex is now a wholly owned subsidiary of Zenda and the company has 31,592,622 shares issued exclusive of shares issued or to be issued for its continuing private placements. Terex has two main mining properties in Ontario, the Massey property located in the Sudbury area and the Mishubishu Lake property located in the Wawa area. Terex also has properties in the Pickle Lake (the Caley Lake property) and Elliot Lake (the Platina property) areas of Ontario. The Massey property is a copper-gold exploration target with characteristics similar to iron oxide-copper-gold (IOCG) deposits. The Mishubishu Lake property presents gold exploration targets. Zenda believes the addition of Terex's Ontario properties are a good complement to the company's existing properties in the Red Lake and Kirkland Lake mining camps. Surface sampling is continuing at the company's Kirkland Lake property and it is anticipated that exploration diamond drilling will commence on the Massey property in the very near future. The company has received a technical report on the Terex properties that was prepared by Neil N. Gow, BSc, PGeo, a "qualified person" within the meaning of National Instrument 43-101. The report is to be filed on SEDAR. Further to the acquisition, Donald R. Hawke, MSc, PGeo, a director and president of Terex, becomes the president of the company. Mr. Hawke has over 30 years of geological exploration and mining experience having worked for companies and as a consultant throughout Canada and in East Africa and the Middle East. Mr. Hawke was elected to the board of directors of the company at the Nov. 8, 2004, shareholders meeting.
