its about utilizing tax loss carry forwards and the new sears as a vehicle for future growth, ala Berkshire Hathaway.

accounting question.

if kmart buys sears, new company can use kmart's tax loss carryforward.

if sears bot kmart, could the acquirer (sears) still use the tax loss carryforward of the acquired company (kmart)?
