Hi Art,

Your writeup on the various types of corporate financing agrees entirely with my understanding of the subject.
Well written too!

The terms of the SanDisk convertible debentures for the investor looked so good to me that my antennae went up.
My immediate reaction was disbelief.

But, I'm going to drop the subject because it might sound as if I were making allegations, which I am not.

In the course of researching information about Private Placements, I came across the following web site. It should answer many questions about Private Placements.
realcorporatelawyer.com

A few things stand out in my mind:

Rule 144A - essentially, the rule governing private placements.
QIB - Qualified Institutional Buyer
PORTAL "Private Offerings, Resale and Trading through Automated Linkages." (QIB to QIB trading)
