Zeta,

One of the big advantages of a PIPE is that the company doesn't have to go through any of the rigamarole of a public offering - no quiet periods, no underwriters, etc.

I'm not sure what a public offering runs these days in lawyer and underwriting fees, but I'm guessing well north of $500k for a small offering.
