No, that wouldn't do it. The key would be for Cisco to avoid having to report their financials according to GAAP. Moving all operations overseas wouldn't change anything on that parameter.

The only thing that would matter would be Cisco's listing requirements. If they ceased to list their stock on any US exchange or any other exchange that required GAAP reporting, they could get away from having to expense options.

Of course, that would be silly. Possible, but silly.
