PHILADELPHIA (Reuters) - Qwest Communications International Inc. (NYSE:Q - news) offered to acquire long-distance telephone and data services company MCI Inc. (Nasdaq:MCIP - news) for more than $6 billion, sources familiar with the situation said on Thursday.

The two companies are in merger talks, but a deal is not certain since other potential bidders may approach MCI and escalate the price above what Qwest is willing to pay, one source said.

MCI declined to comment.

Qwest could not be immediately reached for comment.
