Xybernaut Announces Date for Nasdaq Hearing

Delisting Action Stayed With Scheduled Hearing

FAIRFAX, Va.--(BUSINESS WIRE)--April 14, 2005--Xybernaut® Corporation (NASDAQ:XYBRE - News) updated its recent disclosures and announced that on Thursday, May 5, 2005, the Company will participate in a hearing before a Nasdaq Listing Qualifications Panel to request continued listing on Nasdaq until the Company files its annual report on Form 10-K for the fiscal year ended December 31, 2004.
Due to the pendency of an Audit Committee investigation, the Company delayed the filing of its Form 10-K. Its failure to file the Form 10-K meant that it was not in compliance with the Nasdaq Stock Market's continued listing requirement set forth in Marketplace Rule 4310(c)(14). As a result, the Company received a Nasdaq Staff Determination indicating that the Company's securities are subject to delisting. As previously announced, the Company has delayed the filing of its Form 10-K while it resolves matters related to the Audit Committee investigation. The Company also previously advised investors and others that, based upon a request from its outside auditors, at least pending completion of the Audit Committee investigation, no reliance should be placed upon certain of the Company's historical financial statements, together with the related audit reports the Company received from its outside auditors.

No delisting will occur prior to the determination of the Nasdaq Listing Qualifications Panel; however, the Company can provide no assurance that the hearing panel will grant its request for continued listing.

PLEASE NOTE: As previously indicated, at the opening of business on April 7, 2005, an "E" was appended to the end of the Company's trading symbol for its securities, so that the symbol became "XYBRE."
