Buying the electronic exchange gives them the infrastructure. They have been looking at it for years. The way the NYSE would do it would probably be just as expensive as buying the competition. Most brokerages are ready for a fully electronic exchange today.

Today frontrunning is accepted, but difficult to prove except in the capacity as a market maker, and they have the right. Most other instances would devolve into he said she said. In an electronic exchange frontrunning would be easier, but would leave an audit trail. Convictions would soon follow. They may find a way around it, but they may not.
