Geez, I can't believe they can do that either. My assumption was that when they send out the stuff for voting they would finally disclose the rates. I don't think they can get away with selling the company without providng info that allows analyzing value. Sometimes stockholders get the right to go to court to challenge the value of a buyout, but I hadn't thought of that angle. If these rates are high enough to make a case of undervaluation, such "appraisal rights" could come in handy. I think that would be a better angle than hoping for a competing bid...
