As a result of the merger, each share of Gillette common stock was converted into the right to receive .975 shares of Procter & Gamble common stock. Gillette shares held in the BuyDIRECT Plan will automatically be converted into the Procter & Gamble Shareholder Investment Program. Gillette shares held in direct registration form are being automatically converted into whole shares of Procter & Gamble stock in direct registration form. Account statements will be mailed to shareholders within two weeks confirming these conversions. If you are holding Gillette stock certificates, you will receive in the mail a transmittal form which you must complete and return to the Exchange Agent, The Bank of New York, along with all of your Gillette stock certificates.
