I scanned the SEC website and it appears a prospectus was filed in April but it was in paper form so you would need to contact the SEC and request a copy. I'm actually surprised, btw, of the VPHM price action since most of these types of financings usually hold the stock price down until the conversion is done. This bodes well for it, imo...
