Fred, I have been sniffing here a bit. The key risk is that cash is running low and they need merger to close sooner than later. The key issue is that I assume everyone will take cash. Who wants to lend money to a developmental biotech (when stockholders expect 30+% annually)? I need to do some work on any cut-back provisons/limits on cash or loans.

My understanding is that if you are not a "Qualified Investor" they will take your notes back, so why bother. I've decided cash as well, in part because of that. Sadly, I don't have the $5,000,000 minimum in investment assets required.

Because I'm convinced the scheme will go through, the question is "what can go wrong with buying a slug now and selling for ~12% gain in a month and a half?" Does that not work if the shares weren't on record as being yours prior to now?

Cheers, Tuck
