Your post speaks more of traditional notions that are being replaced to favor of investors and market regulatory fairness and against potential scammers. 10(b)-5 and other regs dealing with manipulative behavior may be interpreted so as not to require contractual relationships or even that something is "purposefully inaccurate," wherever that claimed test seems to have originated LOL. Manipulation is a far broader concept as was shown in the trial, your predictions of appeal notwithstanding.
