The Wall Street Journal reports Carl Icahn moved his attack on Time Warner into full throttle, saying he plans to field a slate of directors to seek a majority on the co's 14-member board and hiring Lazard (LAZ) to help him do so. The signaling of a full-blown proxy fight at the nation's largest media co is the most aggressive move yet by Mr. Icahn, who previously hadn't specified the number of directors he had hoped to replace at Time Warner, which owns properties including HBO, America Online and Time magazine. Mr. Icahn said in an interview that "this is going to be a major undertaking to do a full-fledged proxy fight." He also reiterated that he believes Time Warner's stock is greatly undervalued and that the company is in need of a major restructuring. Mr. Icahn has been pushing Time Warner to spin off the co's cable-TV group and to undertake larger share buybacks.
