I'm not sure how else one can interpret the words "pending SEC approval" other than either a) we have filed an S-4 and are awaiting the SEC's comments on it, b) we are being "questioned" by the SEC and thus everything we do is subject to SEC scrutiny, or c) we need an alibi for why things have taken so long and this is the best we could come up with.
