Wayne I know you liked IPT, I hope the market place gives you a chance to re-enter at a lower number. Need the ball to bounce our way on occasion.

Hi Wayne!

You commented: "I must have bought into IPT after the initial news of PP. I have to take part of the blame for not doing enough DD to know what the PP was about. However, even if I had known about this I would have still dumped on the news of full warrants...that is bulls*it these days......"

Well here is the original PP announcement (Nov 24/05):

IMPACT Silver Corp. (TSX VENTURE:IPT) is pleased to announce a private placement of 6,250,000 units at the price of $0.40 per unit, each unit consisting of one share of the Company and one half of one common share purchase warrant. Each whole warrant will entitle to holder to purchase one additional share of the Company for a period of eighteen months at the price of $0.50 per share.

Here is the info they announced on the closing of the PP:

"Number of shares: 6.25 million shares

Purchase price: 40 cents per share

Warrants: 3,125,000 share purchase warrants to purchase 3,125,000 shares

Warrant exercise price: 50 cents for an 18-month period

Number of placees: 91" - ENDQUOTE

You can see that they have only issued 3,125,000 warrants, or exactly a half warrant attached with each share of the PP. That is exactly in line with about 90% of the PP deals that have been offered by mining juniors during the last couple of years. I do not see why this deal is so bad or why you have an issue with management. They have to raise the money in the market to pay for the acquisition. The acquisition was shrewdly negotiated, and will immediately elevate IPT into the ranks of the producers. IPT has a very tight share structure, and one of the lowest market caps of any producing company. I think all of those points indicate a very strong management team.

If I am missing something or you know something that I dont, please post it for me. I can think of so many other juniors that are very sleazy in the way they do business, but I have looked IPT over very carefully and they came up clean as a whistle on every count.

cheers!
