I think that's the thing - "only the company knows for sure."

All this speculation that there is a 504 is just that. Filing a form D is not registration and there is no SEC approval. SEC can say something is wrong but it rarely happens. To say one is waiting for the SEC in that case might mean they are "waiting for godot."

So unlike the blogger, I don't think that was the reason for the "pending SEC approval."
