I wouldn't want to be forced into taking the stock of my company as part of my compensation.
It does give them an increased interest in the company.

As far as dividends go. I'm fairly convinced that stock option plans with company repurchase of shares is a scheme to pass all the company profits to favored insiders. The dilutions will place an upper bound on other stockholder's gain so that only the heavily subsidised below cost options have much appreciation.

Dividends pass the profits around more fairly. I like fairness because even though some will win and some will not, if the system is fair they all keep supporting it.
