I thought you wanted to pass that money to the heirs.

The idea isn't too complicated, but it is less direct than an inheritable pension. On the whole they will accomplish the same goals but a stock-decay plan is flexible enough to allow for cases where the employee has no heirs, perhaps doesn't want to have heirs and just wants to maximise current spending power.
