Why?

A whole mess of stock just vests. Why not use some proceeds to make the rest free and clear? His other money may not be so liquid.

Because this way, he pays nothing as the entire tax bill is shifted onto the backs of shareholders.

JCP -

Job's net worth is indeed in the billions, but that doesn't necessarily mean he has hundreds of millions of dollars in cash lying around. A goodly portion of that net worth is in Apple stock, for one thing.
