Rational 1998 - I may be too skeptical, but at Spectrum I saw a half dozen or so of these types of financing agreements that were finalized that never materialized. When you are dealing with a President/CEO who has been in charge of two small companies(less than 10 employees)who has been shut down in both cases because of fraud and misrepresentations, then I believe Red Flags are waving.

The Press Release and the SEC filings showing the agreement also leaves you shaking your head. What is the agreement? I have never seen an agreement with such limited information on how to access the line of credit, what is the collateral, how to pay it back, etc. You couple this with some Google searches and all you find is an obscure UAE company that all point to a PO box. Why would this company do this transaction if it was legitimate? What is in it for them? Why would they give $5 million to a company that is on the verge of bankruptcy with minimal upside potential?

Again the story doesn't make sense and it appears to be a fluff piece that was generated by Sam Higgins and Axial to create interest in the stock. If you listen to some of Sam's earlier stock infomercials he was touting that Axial had millions in the bank and didn't need to raise capital to get into commercial production. Yet, Sam appears to be spending all of his time trying to hype the stock vs. selling the product. Per the SEC filings there have been no dollars spent on R&D in the past several years and millions spent on stock "pumper" consultants. Very strange.

Talk with you later,

TOM SANG

Dear Tom:

With all due respect, I don't think you have any grounds for what you're talking about. I have been involved in the Axial vector Engine project and can assure and promise you that you will see the first fully functional product soon. If you don't see it on Video including images and explainations soon, I will come back here and call myself a Stupid man who has been fooled. The thing is, I have seen it in action unlike you, and Dr. Brouze was the one man standing next to me. So, I can confirm that Dr. Brouze is still on top of his job at AVEC. Furthermore, I might be able to provide you with accurate information on the progress of the project after July 1st if you ask.

As for your debate on Wiser Group whom I know very well, they are one of the most respecful companies in the UAE. Do not judge them by their website. Put it this way, the owners of the company run a fortune estimated at USD 1 billion. They are known as one of the leading Oil and Gas facilitators in the Middle East region and they occupy a 25,000 sqf office in one of the most prestigous buildings in Dubai.

Let us not mix and match, and time will prove whether you've been right all the way or not. Personally, I will regret not taking your concerns into consideration.

Note that I do not represent any of the parties, I only work with them, and the dealings have been satisfying to date. I'm a simple man who is running a couple of small businesses and came by this website to do some duedelegence just like the rest of you.

Thanks
